1. What this covers

These terms cover your use of pocketdocket.co.uk — the marketing website. They are about reading the site, not about using the product.

They are not the subscription contract. If you subscribe to Pocket Docket, your relationship with us is governed by the Terms of Service, the Data Processing Terms and the Acceptable Use Policy, and those documents deal with the service itself, what it does, what we promise about it, and who bears what risk. Where anything in those documents conflicts with anything here, those documents win.

The product itself lives at app.pocketdocket.co.uk and is governed by the Terms of Service.

By using this website you accept these terms. If you do not accept them, please stop using the site.

2. Who we are

These details are given to meet section 82 of the Companies Act 2006 and the Company, Limited Liability Partnership and Business (Names and Trading Disclosures) Regulations 2015, and regulation 6 of the Electronic Commerce (EC Directive) Regulations 2002. They also appear in the footer of every page.

3. What this website is, and what it is not

This site describes what Pocket Docket does, what it costs, and how to start a trial.

Nothing on this website is an offer capable of acceptance. Prices, descriptions and availability are an invitation to talk to us. A contract only exists when you complete the sign-up process and we confirm it — the Terms of Service set out exactly when that happens and how to correct a mistake before it does.

Nothing on this website is advice. Not accounting advice, not tax advice, not financial advice, not legal advice. We write about cash flow, late payment, MTD and how businesses read their numbers because it is what our product is about — but it is general information, written for nobody in particular, and your circumstances are not general. Before you act on anything you read here, talk to your own accountant or adviser. If you act on something on this site without taking advice, that is your decision and your risk.

Kipp is an AI assistant and its output is not advice either. Anything the site shows about what Kipp can do is illustrative. Real output can be wrong and must be checked.

4. Accuracy, and changes

We try to keep the site accurate and current. We do not promise that it is. Content may be out of date, and screenshots may show a version of the product that has moved on.

We may change, suspend or withdraw any part of this site at any time, without notice. We may change these terms — the version in force is the one published here when you use the site.

We do not promise the site will always be available or free of errors. It is a website, not a service you are paying for.

5. Intellectual property

Everything on this site — the text, the design, the layout, the graphics, the code, the name Pocket Docket and the Kipp name — is owned by us or licensed to us, and is protected by copyright, trade mark and other rights.

You may: read the site, print or download extracts for your own reference or to show to colleagues or advisers, and link to any page on it, provided the link is fair and does not suggest an endorsement or association that does not exist.

You may not: republish, sell, rent or sub-license any part of it; use any part of it commercially; reproduce our content on another site; frame the site; remove any copyright or ownership notice; or use our name or branding without our written permission.

If you send us feedback or a suggestion, we may use it without any obligation to you.

6. Things you must not do with this site

You must not:

7. Links to other sites

Where we link to another website, we do it because we think it is useful. We do not control those sites and we are not responsible for them — not for their content, not for their accuracy, and not for what they do with your data. A link is not an endorsement. Read their terms and their privacy policy before you rely on them or hand them anything.

8. Xero

Xero is a trade mark of Xero Limited. Pocket Docket is an independent product and is not endorsed by, affiliated with, or certified by Xero. We use the Xero name only to describe the accounting system Pocket Docket connects to.

Your Xero organisation is yours, under your own agreement with Xero. We read from it because you authorise us to, and you can withdraw that authorisation inside Xero at any time.

9. Our liability for this website

Read this section. It limits what you can recover if something on this site causes you a loss.

9.1 What is never excluded

Nothing in these terms excludes or limits our liability for:

(a) death or personal injury caused by our negligence;

(b) fraud or fraudulent misrepresentation; or

(c) any other liability that cannot lawfully be excluded or limited.

9.2 What we are not liable for

Subject only to clause 9.1, we are not liable to you for any loss or damage arising out of or in connection with your use of this website or your reliance on anything published on it, whether in contract, tort (including negligence), breach of statutory duty, under any indemnity, or otherwise — and in particular for any of the following, whether direct or indirect: loss of profit; loss of revenue; loss of business; loss of anticipated savings; loss of goodwill or reputation; loss of or corruption of data; wasted expenditure; business interruption; and losses arising from a third party's claim against you.

9.3 The cap

Subject only to clause 9.1, our total aggregate liability arising out of or in connection with this website, however arising, is limited to £100.

This is a website we make available free of charge. We receive nothing from you for it, and the figure reflects that. It is a separate and much lower cap than the one in the Terms of Service, which governs the paid service, is set by reference to what you pay us, and is the clause that matters if you are a customer. Nothing in this clause 9 reduces or affects the cap or the remedies in the Terms of Service, and nothing in the Terms of Service is displaced by this clause.

9.4 If you are a consumer

If you are using this site as a consumer rather than for business purposes, you have statutory rights that these terms cannot take away, and nothing here affects them.

10. Privacy and cookies

How we handle personal data is set out in our Privacy Notice. The short version for this site: we collect what you type into the enquiry and trial forms, we use strictly necessary cookies only, we run no advertising trackers and load no third-party assets, and we do not add you to a mailing list.

11. Suspending your access

We may restrict or block access to this site where we reasonably believe someone is breaching clause 6.

12. General

These terms are between you and us. Nobody else can enforce them.

If any part of these terms is found to be unenforceable, the rest continues to apply.

If we do not enforce something straight away, we have not given it up.

13. Governing law

These terms, and any dispute arising out of them or out of your use of this website, are governed by the law of Northern Ireland. The courts of Northern Ireland have exclusive jurisdiction, except that if you are a consumer you may bring proceedings in the courts of the part of the United Kingdom where you live.
